Terms of Service

These Terms of Service (the "Terms") govern your access to and use of FocusFlow's websites, applications, and related services (collectively, the "Service"). FocusFlow is an AI-powered calendar and productivity platform designed primarily for college and university students. By accessing or using the Service, you agree to these Terms.

0. Service Provider

FocusFlow's services are provided by FocusFlow, a software platform based in New York, USA.

1. Acceptance of these Terms

By creating an account, clicking "I agree," accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Definitions

  • "AI" means artificial intelligence and machine-learning based systems.
  • "AI Features" means features that use AI to provide suggestions, summaries, coordination, planning help, productivity scoring, or similar outputs.
  • "Content" means text, files, event details, tasks, reminders, categories, notes, attachments, preferences, links, focus session data, and other materials you submit to, store in, or generate through the Service.
  • "Output" means any results produced by AI Features based on Content and other information processed through the Service.
  • "FocusFlow Score" means a productivity metric calculated from your activity and scheduling data that measures execution, time accuracy, focus quality, consistency, and momentum.

3. Eligibility and student use

The Service is intended for undergraduate and graduate students and for educational institution users. You must be able to form a legally binding contract where you live.

If you are under 18, you may use the Service only with the involvement and consent of a parent or guardian.

If you are using the Service through an educational institution, that institution may have a separate agreement with FocusFlow that governs certain aspects of use. Institution-managed accounts may have different capabilities and restrictions.

4. Accounts and security

  • You must provide accurate and complete registration information and keep it current.
  • You are responsible for maintaining the confidentiality of your credentials, including passkeys.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify FocusFlow if you believe your account has been compromised or used without authorization.
  • FocusFlow uses security measures including password hashing, secure session tokens, encrypted integration credentials, rate limiting, and CSRF protection to help protect your account.

5. License to use the Service

Subject to your compliance with these Terms, FocusFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal academic and productivity use, in accordance with these Terms and any applicable documentation.

6. Acceptable use and restrictions

You agree not to, and not to permit others to:

  • Misuse the Service, including probing, scanning, scraping, or disrupting systems.
  • Reverse engineer, decompile, or attempt to extract source code except where prohibited by law.
  • Upload, store, or share Content that is unlawful, harmful, infringing, or violates others' rights.
  • Attempt to access other users' accounts or data without authorization.
  • Use the Service to develop or train competing products except to the extent permitted by law.
  • Interfere with or disrupt the integrity or performance of the Service's AI Features, scoring algorithms, or data processing systems.

7. AI Features; consent to use your information

The Service includes AI Features that may use information from your account and usage (including Content you provide) to coordinate your schedule, personalize the Service, generate productivity insights and FocusFlow Scores, and provide assistance. By using the Service and enabling or interacting with AI Features, you authorize FocusFlow to process your information for: (a) research and development to improve the Service and AI Features; (b) personalization; (c) coordination and assistance (including generating Output); and (d) calculating and improving productivity metrics and scoring algorithms.

AI Providers. FocusFlow uses OpenRouter and Google Gemini as AI processing providers, with optional local Ollama support for self-hosted deployments. When you use AI Features, your prompts, calendar context, tasks, and attachment content (when you ask the AI to work with attached files) may be transmitted to these providers for processing.

AI Session History. AI conversation history is held temporarily in active memory during your session and is not permanently stored as part of your account data.

Model Training. FocusFlow does not currently use your information to train AI models. Feedback you provide is stored for review but is not fed back into AI training systems.

Important: AI Output Disclaimer. Output, including FocusFlow Scores and productivity insights, may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for reviewing all Output before relying on it, including for deadlines, exams, work obligations, travel, health, or legal matters. FocusFlow does not guarantee the accuracy, completeness, or reliability of any Output. AI-generated suggestions are not a substitute for academic advising, professional advice, or your own judgment.

8. FocusFlow Score

FocusFlow Score is a productivity metric calculated from your activity and scheduling data.

  • FocusFlow Score is informational only and is computed locally from your calendar and task information.
  • It does not measure academic ability, intelligence, or academic performance.
  • It should not be treated as a definitive assessment of your productivity or student success.
  • You should use it as a helpful reference, not as an objective standard.

9. Your Content

You retain ownership of your Content. You grant FocusFlow a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process your Content as necessary to provide, maintain, and improve the Service, including to operate AI Features as described in these Terms and in the Privacy Policy.

10. Third-party services and integrations

The Service may allow you to connect with third-party services, including:

  • Calendar providers — Google Calendar and Microsoft/Outlook Calendar. FocusFlow requests the minimum permissions needed to synchronize your schedule. Events created through FocusFlow may include attribution identifying FocusFlow as the source.
  • Cloud storage providers — Google Drive, Microsoft OneDrive, Dropbox, Box, and Microsoft 365 SharePoint. FocusFlow requests the minimum permissions needed to access files you choose to work with.
  • Educational institution integrations — Single sign-on through SAML and learning-management system integrations such as Brightspace via LTI 1.3. These integrations may receive institution and course information needed to connect your academic schedule.
  • Other integrations — Conferencing platforms, email providers, and similar services.

FocusFlow does not control those services, and your use of them is governed by their terms and privacy policies. FocusFlow is not responsible for third-party services.

11. Educational institution and school accounts

If you access FocusFlow through an educational institution:

  • Your school may manage certain account settings and credentials through institutional sign-on.
  • Institution-managed accounts may have different capabilities, restrictions, or data flows.
  • FocusFlow may receive basic account and roster information from your institution to enable the integration.
  • FocusFlow does not share your personal calendar, task, or productivity content with your institution unless required by the integration or your explicit direction.

Standard student use of FocusFlow does not make FocusFlow a school system or educational record service provider under FERPA unless explicitly agreed in a separate institutional agreement.

12. Beta and experimental features

FocusFlow may offer features that are experimental or in development. Beta features may be:

  • Less reliable than mature functionality
  • Subject to change without notice
  • Removed or modified at any time
  • Used for product research and improvement

Your use of beta features is voluntary. We appreciate your feedback, which helps us improve the Service for all students.

13. Privacy

The Privacy Policy describes how FocusFlow collects, uses, and discloses information. By using the Service, you acknowledge and agree that your information will be processed as described in the Privacy Policy.

14. Suspension and termination

You may stop using the Service at any time. You may delete your account through the Service settings. When you delete your account, FocusFlow will remove your account information and content from active systems within 30 days. Connected calendar and cloud storage integrations will be disconnected, and associated OAuth credentials will be revoked.

FocusFlow may suspend or terminate your access (in whole or in part) if we reasonably believe: (a) you violated these Terms; (b) your use creates risk or potential legal exposure for FocusFlow or others; or (c) doing so is required by law. We may also suspend the Service for maintenance, security, or operational reasons.

15. DISCLAIMERS

THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FOCUSFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOCUSFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.

DO NOT RELY ON THE SERVICE OR OUTPUT FOR MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. ANY OUTPUT REGARDING THOSE TOPICS IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR ADVICE FROM A QUALIFIED PROFESSIONAL. FOCUSFLOW'S AI IS NOT AN ACADEMIC ADVISOR, PROFESSOR, COUNSELOR, OR OTHER PROFESSIONAL.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FOCUSFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR OUTPUT. FOCUSFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE GREATER OF (1) $100 OR (2) THE AMOUNT YOU PAID TO FOCUSFLOW IN THE 12 MONTHS BEFORE THE DISPUTE. FOR FREE USERS, FOCUSFLOW'S LIABILITY IS LIMITED TO $100.

17. Indemnification

If you use the Service on behalf of an organization or business (an "Enterprise User"), to the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless FocusFlow and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content; (b) your use of the Service; or (c) your violation of these Terms or applicable law. This indemnification obligation does not apply to individual student users.

18. Changes to these Terms

FocusFlow may update these Terms from time to time. If we make material changes, we will provide you with reasonable advance notice by posting the updated Terms on this page with a new effective date, and where appropriate, by notifying you through the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may contact us to delete your account.

19. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Erie County, New York, and the parties consent to personal jurisdiction in those courts.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

21. No Waiver

FocusFlow's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FocusFlow regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
